We are ARCO SOFTWARE ("Company," "we," "us," "our"), also known as CORXLY, registered in New Jersey, United States, at 65 Westminster Pl, Saddle Brook, NJ 07663.

We operate the website corxly.com (the "Site") and related products and services that refer or link to these legal terms (the "Legal Terms") (collectively, the "Services").

ARCO provides a software-as-a-service (SaaS) platform that offers project management tools tailored for neurodivergent individuals and small businesses, incorporating AI and speech-to-text technology to facilitate task organization and management.

These Legal Terms constitute a legally binding agreement between you, personally or on behalf of an entity ("you"), and ARCO SOFTWARE, regarding your access to and use of the Services. By accessing the Services, you confirm that you have read, understood, and agreed to be bound by these Legal Terms. IF YOU DO NOT AGREE TO ALL OF THESE LEGAL TERMS, YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND MUST DISCONTINUE USE IMMEDIATELY.

We will notify you of scheduled changes to the Services. The modified Legal Terms will become effective upon posting or notification at ariana@arianarodriguez.co. By continuing to use the Services after changes take effect, you agree to be bound by the modified terms.

The Services are intended for users who are at least 18 years old. Persons under the age of 18 are not permitted to use or register for the Services.

1. OUR SERVICES

The information provided when using the Services is not intended for distribution to or use by any person or entity in jurisdictions where such use would be contrary to law or regulation or subject us to any registration requirement. Accessing the Services from locations outside the U.S. is at your initiative, and you are responsible for compliance with local laws.

The Services are not tailored to comply with industry-specific regulations (e.g., HIPAA, FISMA). If you are subject to such laws, you may not use the Services. You are prohibited from using the Services in ways that would violate the Gramm-Leach-Bliley Act (GLBA).

User License: We grant you a non-exclusive, non-transferable, revocable license to:

  • Access the Services;

  • Download or print a copy of any accessible Content for personal, non-commercial use or internal business purposes.

Prohibitions: Except as specified here, no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, publicly displayed, encoded, translated, transmitted, or distributed for commercial purposes without our express prior written permission. Any unauthorized use will result in termination of your license.

Your Submissions

By sending us feedback or other submissions regarding the Services, you assign us all intellectual property rights in those submissions. We may use and distribute them for lawful purposes without acknowledgment or compensation to you.

You are responsible for any content you post or upload and confirm it does not infringe third-party rights, is not illegal, harassing, or misleading, and is not confidential.

3. USER REPRESENTATIONS

By using the Services, you confirm that:

You may be required to register to use the Services. You are responsible for maintaining your password’s confidentiality and for all activities under your account. We reserve the right to suspend or reclaim usernames deemed inappropriate.

5. PURCHASES AND PAYMENT

We accept Visa, Mastercard, American Express, and Discover. You agree to provide accurate purchase information, promptly update payment details, and pay applicable charges in U.S. dollars. All purchases are non-refundable.

We reserve the right to correct pricing errors and limit or cancel orders at our discretion.

6. SUBSCRIPTIONS

Billing and Renewal

Your subscription renews automatically unless canceled. You consent to recurring charges on your payment method until cancellation. We will notify you before any changes to subscription fees apply.

Free Trial

We offer a 14-day free trial for new users. Charges apply after the trial unless you cancel.

Cancellation

You can cancel anytime by logging into your account. Cancellation will take effect at the end of the current term. Refunds are not available for unused portions.

7. PROHIBITED ACTIVITIES

Prohibited activities include, but are not limited to:

  • Data mining or scraping the Services;

  • Misleading, fraudulent, or illegal conduct;

  • Attempting to interfere with security features or access controls;

  • Harassing or abusing others;

  • Unauthorized access or creation of accounts.

We reserve the right to terminate accounts engaged in prohibited activities.

8. USER GENERATED CONTRIBUTIONS

By submitting content, you confirm you own or have permission to use all rights to it. Your contributions must not infringe third-party rights, violate applicable law, or include harmful or offensive content.

9. CONTRIBUTION LICENSE

By submitting feedback or suggestions, you grant us a royalty-free, unrestricted right to use such feedback for any lawful purpose.

10. SERVICES MANAGEMENT

We reserve the right to monitor, manage, and restrict content to protect the integrity of our Services.

11. PRIVACY POLICY

We care about data privacy. Please review our Privacy Policy, incorporated into these Legal Terms. If you access the Services from outside the U.S., you consent to transfer and processing in the U.S.

12. TERM AND TERMINATION

These Legal Terms apply while you use the Services. We may terminate access without notice if you breach any terms. Terminated accounts cannot be re-registered without our approval.

13. MODIFICATIONS AND INTERRUPTIONS

We may modify, suspend, or discontinue the Services without notice. We are not liable for any downtime.

14. GOVERNING LAW

These Legal Terms are governed by New Jersey law, excluding conflicts of law principles.

15. DISPUTE RESOLUTION

Any disputes will be resolved in the state and federal courts of Bergen County, New Jersey. The United Nations Convention on Contracts for the International Sale of Goods and UCITA do not apply. Any claim must be brought within one (1) year of the cause of action.

Mandatory Arbitration and Class Action Waiver:
All disputes must be resolved through binding arbitration on an individual basis. You waive any right to participate in a class action or collective lawsuit.

16. CORRECTIONS

We reserve the right to correct any errors, inaccuracies, or omissions without prior notice.

17. DISCLAIMER

The Services are provided "as-is" without warranties. We disclaim liability for errors, interruptions, viruses, or third-party links.

18. LIMITATIONS OF LIABILITY

We are not liable for indirect, incidental, or consequential damages. Total liability is limited to the lesser of amounts paid by you in the last six (6) months or $5,000.

19. INDEMNIFICATION

You agree to indemnify and hold us harmless from claims arising from your use of the Services, breaches of these Legal Terms, or third-party rights violations.

20. USER DATA

We maintain data transmitted to the Services but are not liable for any loss or corruption. You are responsible for backing up your data.

21. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES

Electronic communications and signatures are legally binding. You waive any right to original signatures unless required by law.
